# Lambogenius Integration Migration Pricing and Licensing Terms

Revision 0.17. Owner approved October 29, 2026. Applicable when adopted by a new accepted Order Form.

These terms describe new application-scope offers for the Lambogenius Integration Migration Tool (LI). They become applicable only through finalized terms and an accepted Order Form. They do not amend existing customer agreements, invoices, discounts, certificates or acceptance archives. Revision 0.16 remains intact for contracts that accepted it.

## Commercial offers

All amounts are Canadian dollars before applicable taxes. Fixed fees are paid upfront. Project and Portfolio are fixed-term migration licenses, not automatically renewing subscriptions. Enterprise requires an agreed price, scope and fixed term; no missing quotation is treated as a zero price.

| Offer | Software fee | Agreed generation applications | Tool access |
| --- | --- | --- | --- |
| Discovery | Free | One selected evaluation application | One 30-day generation evaluation per legal organization; local deterministic inventory remains free |
| Guided Pilot | C$7,500 once | Up to 3 | 45 days |
| Project | C$24,000 once | Up to 10 | 12 calendar months |
| Portfolio | C$60,000 once | Up to 50 | 12 calendar months |
| Enterprise | Custom quote | Agreed larger or exceptional scope | Agreed fixed term |

Discovery generation evaluation and Guided Pilot permit non-production evaluation only. Project and Portfolio permit production use of customer-specific output after the customer's review, testing and approval. Enterprise output rights must be stated in its Order Form. An exceptionally large application or exceptional complexity must be identified and quoted before purchase; no undisclosed artifact threshold or later migration-unit overage applies to these offers.

The paid access term begins when access has been provisioned, is usable and the required payment has been confirmed. The order records the actual start and processing end timestamps. Calendar-month anniversaries use the recorded UTC timestamps, preserving the day and time where possible and using the last valid day when a month is shorter. Twelve calendar months must not be replaced by 365 days. Any supplier provisioning failure is remedied by correcting access dates, rather than charging the customer for an extension.

## Included product capabilities

Every paid offer includes the currently delivered CLI and Migration Studio workflow, supported BizTalk-to-Azure Integration Services processing, customer coding standards and templates, agent skills, separate AI review, batch and resumable runs, planning, generation, validation, packaging and reporting. Deployment requires explicit customer authorization and remains subject to configured approval gates. Generated packages and performed checks do not establish behavioral equivalence, production readiness or production acceptance.

Project and Portfolio include detailed assessment across the customer's own supported estate during the active term. Assessment does not consume a generation application. Guided Pilot and Discovery AI-assisted evaluation are confined to their agreed applications. Outside its selected evaluation application, Discovery provides local deterministic inventory and dependency information, rather than unrestricted hosted AI analysis.

The currently supported route is BizTalk to Azure Integration Services, including Logic Apps Standard. Broader MuleSoft, TIBCO, healthcare, AWS and Google Cloud routes remain planned. No undisclosed Enterprise feature or unimplemented adapter is included by implication.

## Included assistance and support

| Assistance | Guided Pilot | Project | Portfolio |
| --- | --- | --- | --- |
| Onboarding and review | 8 hours total | 4 hours total | 8 hours total |
| Product support | Business hours | Business hours | Business hours |
| Initial response target | 2 business days | 2 business days | 1 business day |
| Production output rights | No | Yes | Yes |

The business-hours window is Monday through Friday, 09:00 to 17:00 America/Toronto, excluding Canadian federal statutory holidays. Targets concern an initial response, not resolution, and do not promise 24-hour or seven-day support. Operational capacity must be confirmed before these commitments are published or incorporated into an effective offer.

Included expert hours cover setup, supported configuration and review. They do not include completing migrations, rewriting business logic, manual remediation, production acceptance testing or cutover. Additional assistance requires a separately priced statement of work. Unused hours expire with the access term, have no cash value and do not become software credits.

The Guided Pilot deliverables are a confirmed source inventory; an agreed sample containing simple, representative and difficult cases; generated migration candidates; a record of checks actually performed and unresolved gaps; measured engineering effort; and a written proceed or stop recommendation.

## Agreed application scope

An application is one materially distinct source integration application or maintained solution boundary identified in the Order Form's scope register. It is not automatically each project file, workflow, orchestration, environment or generated repository.

The register identifies a stable application key, display name, source platform, source repository or supplied package, agreed solution boundary and customer organization. The maintained key remains when folders, solution names or output locations change. DEV, TEST, UAT, PROD, release branches, ordinary source corrections and reruns of substantially the same application remain one application.

Application capacity is cumulative for the contract term. Completing a migration does not release capacity for an unrelated application. An authorized administrator may correct an erroneous registration before generation begins and must record an audit trail. A separately maintained business implementation or materially expanded boundary may require an additional application or accepted change order.

## Included delivery team and customer boundaries

Each license covers one legal customer organization. All authorized organization members, approved contractors working for that organization and required automation accounts are included. There are no named-user packs or commercial activation quotas under these offers. Authentication, appropriate service identities, client isolation, revocation and technical abuse protections continue to apply.

A contractor or reseller cannot use one customer's entitlement for another client. Appointment to work on a customer's license does not transfer ownership of that license or authorize access to another customer's workspace, source material, credentials, output or records. Client-specific scope must be confirmed on every Order Form.

## Ordinary iteration and evidence

During the active term, reassessment, repeated planning, corrections within the agreed boundary, generation retries, validation and regenerated packages are included. A changed source-file hash does not by itself create a new application or software charge. Artifact counts and hashes may be retained for diagnostics, evidence freshness and cache invalidation, with zero billable migration units under application-scope policy 2.

Batch processing is included. The tool checks the agreed scope and available application capacity before starting generation. Customer review, source-safety checks and the freshness checks that distinguish current output from stale plans or packages remain required.

## Customer output rights and expiry

Project and Portfolio customers retain the right to run, modify, maintain and redeploy their exported customer-specific output after tool access ends, subject to applicable third-party notices and agreed background-technology terms. LI imposes no Lambogenius runtime license on that customer-specific output. This grant does not transfer ownership of the LI tool, engine, general templates or independently licensed third-party products, or change entitlements for separately purchased products.

Expiry ends new paid-tool processing and support. It does not delete, encrypt, disable or withhold already exported output. Local deterministic inventory, dependency diagnostics and reading existing reports remain available. New paid generation requires an active entitlement. Certificate offline grace cannot extend the contractual processing end date.

Offline continuation is permitted only for applications already included in the customer's signed and verified scope, within the active processing term. Ordinary in-scope source edits do not require another commercial artifact receipt. Unknown applications require online approval or a signed scope amendment. Offline use does not bypass customer boundaries, application caps, revocation, contract dates, review gates or source-safety controls.

## Same scope extensions

Project may be extended for six calendar months for C$6,000; Portfolio may be extended for six calendar months for C$15,000. Enterprise extensions are quoted. Extensions add time, not applications or another onboarding allowance, and require a signed amendment and one-time payment. They do not renew automatically.

The amendment records exact access dates. An extension purchased during an active term follows the current processing end date. After a lapse, any resumed paid access and its dates must be expressly recorded; it must not be presented as continuous access during the gap. Supplier provisioning remedies correct access dates without an extension fee.

## Guided Pilot credit

The actual Guided Pilot software fee paid, excluding tax and net of refunds, is credited once toward Project or Portfolio. The production purchase must be completed within 90 calendar days after the pilot end date. Completion means settled payment or a signed, accepted purchase order that records the credit. The UTC calendar-date window includes the whole ninetieth date after pilot expiry; the order records the exact deadline.

The credit belongs to the same legal customer organization. It is nontransferable unless an approved order expressly assigns it, has no cash refund value and cannot exceed the new software amount. The C$7,500 pilot fee includes its eight hours of assistance; no fictitious services allocation reduces the promised credit.

| Direct purchase sequence | Payment at this step | Cumulative software payments |
| --- | --- | --- |
| Guided Pilot | C$7,500 | C$7,500 |
| Upgrade to Project | C$16,500 | C$24,000 |
| Upgrade Project to Portfolio | C$36,000 | C$60,000 |
| Alternative pilot directly to Portfolio | C$52,500 | C$60,000 |

A Project-to-Portfolio upgrade during the active Project term preserves the existing processing end date. The eligible credit is the cumulative software amount already paid toward that Project, including a pilot amount already applied. The pilot is not credited a second time. Expert assistance and time-extension fees do not become capacity-upgrade credits.

Credits are recorded as available, reserved, applied, expired or reversed, with their source payment, customer, target order, amount, currency and timestamps. Reservation is atomic during payment preparation. A successful payment or accepted purchase order applies the credit; a canceled or failed order releases its reservation. Duplicate callbacks do not create duplicate credits or licenses. Refunds and disputes remove unused eligibility; an already consumed credit requires review and does not silently disable the customer's exported output.

## Additional application scope

The standard Project capacity amendment adds five applications for C$10,000. The Portfolio amendment adds ten applications for C$10,000. Added scope shares the existing license end date and requires a reviewed, accepted amendment. Recommend a Portfolio upgrade before successive Project additions would cost more than Portfolio. Larger programs and exceptional complexity require a fixed quote before work begins.

## Approved partner and reseller channel

New partners start on customer-scoped Project or Portfolio licenses. No C$200,000 annual entry commitment or separate multi-client Partner edition is required. A customer's appointed consultancy may operate that customer's license within the same agreed client scope.

An approved reseller receives a 20 percent discount on the new software balance payable for Project, Portfolio and standard time or capacity amendments. Apply an eligible upgrade credit first, then the reseller discount to the remaining software balance. The Guided Pilot itself and separately contracted services are not discounted by this rule. No referral commission is paid on the same order.

Project without credit is C$19,200 wholesale against C$24,000 list. Project after a C$7,500 pilot is (C$24,000 minus C$7,500) multiplied by 80 percent, or C$13,200 newly payable. Portfolio without credit is C$48,000 wholesale against C$60,000 list. Reseller identity is recorded separately from the legal customer owning the entitlement. A discount does not authorize multi-client access. Pooled commitments and Enterprise discounts require individually quoted terms.

## Orders payments and exclusions

Paid purchasing is initially sales assisted, using an inquiry, confirmed source boundaries and an accepted Order Form. A public CTA does not promise unrestricted immediate checkout. Free local inventory does not require a payment form or AI-provider authentication. Required software payments and amendments are one-time payments, not automatically renewing annual subscriptions.

All prices are in Canadian dollars before applicable taxes. AI consumption, Azure infrastructure, third-party products and separately contracted migration services are additional. Manual remediation, production acceptance testing and cutover are excluded unless separately contracted. The customer remains responsible for source rights, security approvals, backups, business-rule accuracy, testing, production acceptance, deployment authorization, operation and legal compliance.

The accepted order records the catalog version, terms version and source-document hash, exact application scope, recorded processing dates, list amount, reseller adjustment, eligible credit and final CAD amount. The immutable policy snapshot and signed amendments govern the entitlement; later catalog synchronization does not rewrite an existing contract.

## Existing contracts and relationship to other terms

Existing paid licenses, accepted orders, invoices, discounts, signed terms, certificates and historical acceptance archives are grandfathered. Capacity, expiry, billing model and output restrictions are not changed by a catalog seed. A customer may opt in through a recorded accepted amendment stating scope, dates, price adjustments and credit. No refund is automatic, and a new list price does not overwrite a negotiated agreement.

These pricing and scope terms are intended to operate with the agreed commercial EULA and third-party notices. For a new order expressly adopting revision 0.17, its fixed terms, included team access and permanent production use of paid customer-specific output take precedence over inconsistent generic plan restrictions. Other ownership, confidentiality, privacy, refund, mandatory-rights, warranty, liability and dispute provisions of the agreed documents are not revised by these terms. Required approval, support-capacity confirmation and final document hashes must be completed before production activation.
