Direct software subscription
Azure Logic Apps Connectors — Direct Subscription Agreement
Existing agreements retain their accepted terms. This version applies when expressly adopted by a direct subscription.
Version: 2026-10-30
Published: October 30, 2026
This Direct Subscription Agreement (the "Agreement") is between Gurande Chameshi Inc., an Ontario corporation doing business as Lambogenius ("Lambogenius," "Licensor," "we," or "us"), and the legal customer organization identified at checkout ("Customer" or "you"). The Software means the Liquid Compose, XSLT Compose, HL7 v2 Codec and MLLP Connector products identified by Customer's direct Stripe subscription, including the purchased bundle, packages, updates and documentation. This Agreement does not replace existing accepted agreements or govern Microsoft Marketplace purchases.
By explicitly accepting this Agreement at checkout, Customer agrees to the identified version and purchased scope. The subscription is offered only to organizations for internal business use and not to consumers. The individual accepting represents that they have authority to bind Customer and that the purchase is made for business purposes. Rights applicable law does not permit the parties to exclude remain unaffected. If you do not agree, do not install or use the Software.
1. License grant
Subject to this Agreement and payment of applicable fees, Lambogenius grants Customer a limited, non-exclusive, non-transferable, non-sublicensable license during the paid subscription term to install and use the Software internally for Customer's business purposes, within the purchased scope stated in section 17 and recorded in the accepted checkout. A license credential implements that scope technically; it does not enlarge it.
Contractors may use the Software solely for Customer's benefit, within Customer's scope, and subject to terms at least as protective as this Agreement. Customer is responsible for their compliance.
2. Evaluation use
Software designated as evaluation, trial, developer or non-production may be used only for internal development, testing and evaluation within its stated period and scope. It may not process production traffic, be used to provide services to third parties for consideration, or be used to avoid purchasing a production subscription. Evaluation Software is provided without support commitments and may contain additional limits.
3. Restrictions
Except to the extent a restriction is prohibited by applicable law or an applicable third-party license, Customer must not:
- copy, modify, translate, or create derivative works of the proprietary Software, except for copies reasonably required for permitted installation, backup and deployment;
- reverse engineer, decompile, disassemble, or attempt to discover its source code or non-public protocols;
- sell, sublicense, rent, lease, lend, host, distribute, or provide the Software to a third party, including as a service bureau or managed service;
- bypass, disable, tamper with, or misrepresent license credentials, usage limits, security controls, or technical restrictions;
- remove or alter proprietary, copyright, attribution, or license notices;
- use the Software beyond the purchased organization, tenant, production-resource or term limits;
- use the Software to violate law, third-party rights, or a cloud provider's terms.
These restrictions do not prohibit Customer from creating and editing its own workflows, maps, templates, schemas and configurations used with the Software. A consulting-partner, redistribution or managed-service license requires a separate written agreement that expressly grants those rights.
4. Ownership and Customer materials
Lambogenius and its licensors retain all right, title, and interest in the proprietary Software, documentation, technology, and all related intellectual-property rights. No rights are granted except those expressly stated in this Agreement. Lambogenius names, logos, domain names, and product names are not licensed for use as trademarks.
Subject to third-party rights and licenses, Customer retains its rights in its workflows, maps, templates, schemas, configurations, messages and other materials it creates or processes with the Software ("Customer Materials"). Customer is responsible for reviewing, testing, securing, and validating Customer Materials and the results of processing them before production use.
If Customer provides suggestions or feedback about the Software, Lambogenius may use them without obligation, provided Lambogenius does not disclose Customer confidential information.
5. Open-source and third-party components
The Software contains or is derived from components governed by separate licenses. Those
components are licensed under their applicable terms, not this Agreement, to the extent
the applicable terms conflict with this Agreement. Required notices are provided in
THIRD-PARTY-NOTICES.md and accompanying distribution materials. This Agreement does not
restrict rights granted directly under an applicable open-source license, including the
MIT License, for the portions it covers.
6. Customer infrastructure, external services and healthcare
Customer installs and runs the Software in its own Azure environment and pays Microsoft and other infrastructure providers separately. The subscription does not provision or operate Customer's resources. Customer is responsible for access controls, networking, certificates, backups, resilience, monitoring, schemas, testing and recovery.
HL7/MLLP capability is an integration function, not a representation of clinical suitability, certification, regulatory compliance or uninterrupted patient-care availability. The Software is not intended to diagnose, treat, monitor or prevent any disease or condition, or to make clinical decisions, and is not provided as a medical device. Customer must validate security, message handling, acknowledgements and clinical/operational use with appropriate professionals. Customer obtains its own rights to schemas, HL7 standards and other third-party materials; none are supplied merely by purchasing the Software.
The Software runs in Customer's environment and does not send patient messages or workflow payloads to Lambogenius through license verification or commerce services. Lambogenius does not create, receive, maintain or transmit personal health information on Customer's behalf under this Agreement, and this Agreement is not a business associate agreement, health-information agent arrangement or patient-data processing agreement. Customer must not send personal health information or message payloads to Lambogenius. If Customer does so, Lambogenius may delete it without review, and Customer is responsible for that disclosure. Separately agreed hosted services, archiving or professional services require their own terms before such information is provided.
7. License verification and usage certification
The Software validates signed license credentials offline and may locally record entitlement information, including license identifiers, Software version and feature usage. Lambogenius will not intentionally collect Customer Materials through license verification. Customer must not provide false usage information or interfere with verification.
Because verification is offline, Customer is responsible for observing the purchased production-resource limit. Within 30 days after Lambogenius's written request, made no more than once in any 12-month period, Customer will provide a written certification, signed by an authorized representative, of the number of production Logic Apps Standard resources using the Software. If use exceeds the purchased scope, Customer will promptly purchase the required scope or reduce its use, and will pay the then-current applicable fees for the excess from the time it began.
8. Fees, term, renewal, cancellation and taxes
Prices are USD per customer organization, billed annually upfront. Monthly amounts on the pricing page are equivalents only. The full annual price and any applicable taxes are shown before payment; the accepted checkout records the purchased price.
Customer authorizes Stripe to charge the selected payment method for the initial annual term and annual renewals until cancellation. The renewal date is shown in the billing portal Lambogenius makes available to Customer. Customer can cancel renewal through that portal before the renewal date. End-of-term cancellation prevents the next annual charge and preserves use through the paid term's recorded end. A separate subscription requires its own cancellation. New-sale price changes do not automatically reprice existing subscriptions.
At least 60 days before each annual renewal, Lambogenius will email Customer's administrative or purchasing contact with the renewal date, the renewal price and how to cancel. Lambogenius may change the price for an upcoming renewal term only by stating the new price in that reminder. A change never applies to the first renewal of a subscription and never affects a paid term already in progress. If Customer does not accept the new price, Customer may cancel before the renewal date, and the subscription ends at the end of the paid term. Without a reminder stating a new price, renewal continues at the current price. If Lambogenius does not send that reminder, Customer may cancel within 30 days after the renewal charge by notice to hello@lambogenius.com and receive a refund of that renewal charge.
If a renewal payment is not completed after the payment provider's retry period, the subscription ends at the end of the paid term and no new production credential is issued.
Fees are not subject to discretionary refunds. The refunds stated in sections 8, 10, 12A and 13 and rights that applicable law does not permit the parties to exclude remain available.
Fees exclude taxes. Customer pays applicable sales, use, goods and services, harmonized, value-added and similar taxes, other than taxes on Lambogenius's net income. If law requires Customer to withhold tax from a payment, Customer will increase the payment so that Lambogenius receives the amount it would have received without withholding, unless Customer provides documentation that a reduced rate applies.
9. Confidentiality
Each party may receive non-public information identified as confidential or that reasonably should be understood to be confidential. The receiving party will use it only to perform or exercise rights under this Agreement and will protect it using at least reasonable care. This obligation does not apply to information that the receiving party can document was already lawfully known, becomes public without breach, is received lawfully without confidentiality duty, or is independently developed without use of the confidential information.
A party may disclose confidential information when required by law after providing advance notice where legally permitted. Customer Materials, credentials and configurations are Customer confidential information.
10. Limited warranty
For 30 days after initial commercial delivery, Lambogenius warrants that the unmodified Software will substantially conform to its published documentation when used in a supported environment. Customer's exclusive remedy and Lambogenius's entire obligation for breach of this warranty is, at Lambogenius's option, to use commercially reasonable efforts to correct the nonconformity, provide a workaround, or terminate the affected license and refund prepaid fees covering the unused remainder of its term.
This warranty does not apply to evaluation Software, third-party services, Customer Materials, Customer modifications, misuse, unsupported environments, or failures caused by external systems.
11. Disclaimer
EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE, EVALUATION SOFTWARE, DOCUMENTATION AND SUPPORT MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." LAMBOGENIUS DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS, AND REPRESENTATIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. THE INDEMNITY IN SECTION 12A IS LAMBOGENIUS'S SOLE OBLIGATION FOR THIRD-PARTY INFRINGEMENT CLAIMS.
12. Limitation of liability
"Excluded Claims" means (a) Customer's payment obligations, including fees for use beyond the purchased scope; (b) Customer's breach of section 3; (c) a party's breach of section 9; (d) Lambogenius's obligations under section 12A, which are subject to the separate limit below; and (e) liability that cannot lawfully be limited.
EXCEPT FOR EXCLUDED CLAIMS AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY. Fees that would have been payable for use beyond the purchased scope are direct damages.
EXCEPT FOR EXCLUDED CLAIMS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE FEES CUSTOMER PAID OR OWED FOR THE SOFTWARE DURING THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM. LAMBOGENIUS'S TOTAL AGGREGATE LIABILITY UNDER SECTION 12A WILL NOT EXCEED TWO TIMES THAT AMOUNT. FOR EVALUATION SOFTWARE, LAMBOGENIUS'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED USD $100.
12A. Infringement indemnity
Lambogenius will defend Customer against a third-party claim alleging that the unmodified Software, used as permitted by this Agreement, infringes that third party's copyright, trademark or trade secret, or a patent enforceable in Canada or the United States, and will pay damages and costs finally awarded or agreed in settlement. Customer must promptly notify Lambogenius of the claim, give Lambogenius sole control of its defence and settlement, and provide reasonable cooperation at Lambogenius's expense.
This obligation does not apply to claims arising from Customer Materials, third-party or open-source components, evaluation Software, modifications not made by Lambogenius, combination with items not supplied by Lambogenius where the claim would not arise from the Software alone, or use after Lambogenius provides a non-infringing update.
If the Software is or may become subject to such a claim, Lambogenius may obtain the right for Customer to continue using it, modify it to be non-infringing without material loss of functionality, or terminate the affected license and refund prepaid fees for the unused remainder of its term. This section states Lambogenius's entire liability and Customer's exclusive remedy for infringement claims.
13. Termination
Either party may terminate this Agreement for material breach if the breach is not cured within 30 days after written notice. If Customer terminates for Lambogenius's uncured material breach, Lambogenius will refund prepaid fees covering the unused remainder of the affected term. Lambogenius may suspend or terminate immediately on written notice for unauthorized distribution, deliberate circumvention of license controls or unlawful use. Non-renewal for failed payment is governed by section 8.
An already issued offline credential cannot be instantly revoked. Technical credential validity does not extend contractual rights beyond the purchased term or scope, except as stated in the next paragraph.
On expiration, or on termination other than for Customer's breach, Customer may continue using the Software within its purchased scope for the remaining technical grace of an already issued production credential, solely to transition its workflows. After that period, and immediately on termination for Customer's breach, Customer must stop using and delete proprietary copies of the Software, except archival copies required by law. Expiration or termination does not transfer Software ownership or prevent access to Customer's independently stored Customer Materials. Sections 3, 4, 5, 7 (as to fees for excess use), 8 (as to accrued fees and taxes), 9, 11, 12, 12A (as to claims arising before termination), 13, 14, 15 and 16 survive. Termination does not restrict rights independently granted under an applicable open-source license.
14. Export and legal compliance
Customer will comply with applicable export-control, sanctions, anti-corruption, privacy, and data-protection laws. Customer represents that it is not prohibited from receiving the Software and will not use or transfer it in a prohibited country, for a prohibited end user, or for a prohibited end use.
15. Governing law and disputes
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. General
Customer may not assign this Agreement without Lambogenius's prior written consent, except in connection with a merger or sale of substantially all Customer assets where the assignee is not a competitor and agrees in writing to this Agreement. Lambogenius may assign this Agreement in connection with a reorganization, merger, acquisition, or sale of its business or assets.
Neither party is liable for delay caused by events beyond its reasonable control, except for payment obligations. Waivers must be in writing and apply only to the specific instance. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective.
This Agreement, the accepted checkout record and any order form constitute the entire agreement about the Software and supersede prior proposals and discussions. The privacy notice presented with the service describes account and commerce processing but does not amend this Agreement. An order form controls over this Agreement only where it expressly identifies the provision being replaced. Amendments must be in writing and signed by authorized representatives of both parties.
Notices to Lambogenius must be sent to legal@lambogenius.com. Notices to Customer may be sent to the administrative or purchasing contact associated with Customer's order. An email notice is received on the next business day after it is sent, unless the sender receives a delivery-failure message.
17. Purchased connector scope and support schedule
| Bundle | Included products |
|---|---|
| Azure Logic Apps Connectors — Transformation Bundle | Liquid Compose and XSLT Compose |
| Azure Logic Apps Connectors — Healthcare Bundle | HL7 v2 Codec and MLLP Connector |
| Azure Logic Apps Connectors — Enterprise Integration Bundle | All four products |
Standard products and the Transformation/Healthcare bundles cover one legal customer organization, one Azure tenant, unlimited developers and development/test environments, and up to three concurrently deployed production Logic Apps Standard resources in that tenant. A bundle's limit is shared across its included products; it is not multiplied by separate license credentials. Workflows, executions and messages are not separately metered or charged.
The production limit counts resources deployed at the same time. It is not a lifetime cap on resource creation and does not require permanent named assignments; replacing or removing a resource does not consume an additional entitlement. Development/test use does not authorize serving production traffic under a developer credential.
The Enterprise Integration Bundle covers the same single organization and tenant, with unlimited production Logic Apps Standard resources in that tenant. Multiple tenants, subsidiaries, redistribution or managed-service rights require a separate written agreement; no public price is offered for them under this Agreement.
The accepted checkout records Customer's annual USD price and confirmed scope. Later website or new-sale configuration changes do not amend that acceptance, and later versions of this Agreement do not rewrite rights Customer already accepted.
Updates are included during the active paid term. Standard support has a two-business-day first-response target. The Enterprise Integration Bundle has a one-business-day target and four onboarding hours during the first subscription year; those hours do not reset at renewal, and unused hours do not carry forward. Response targets are not resolution guarantees, clinical availability commitments or service levels.
Support business hours are Monday–Friday, 09:00–17:00 America/Toronto, excluding Ontario public holidays. Requests received outside those hours enter the response window at the next business opening. Onboarding is arranged by mutual availability. No round-the-clock or emergency clinical support is included.
Contact hello@lambogenius.com for billing/support and legal@lambogenius.com for notices. Never send patient/customer payloads, full license credentials, access/purchase tokens, private keys or API secrets to support. Report payment or license delivery problems using sanitized references.
